"A. The Company is engaged in the Business of #### ("the Business").
B. The Company and the Confidant intend to enter into negotiations for sale to the Confidant of the Business.
C. For the purpose of evaluation by the Confidant of the Business, the Confidant has requested that the Company disclose to the Confidant certain information which the Company designates as confidential.
D. In consideration for the Company disclosing to the Confidant the confidential information the Confidant has agreed to keep such confidential information confidential and to maintain such confidence on the following terms.
In the construction of this deed, unless the contrary intention appears:-
Confidential Information means all information passing from the Company to the Confidant relating to the Business from the date of the deed including but not limited to trade secrets, drawings, know‑how, techniques ..."
