RECITALS

"A. ?a13? supplies the ?a25? described in Item 1 of the Schedule and ?a14? wishes to purchase the ?a25? from ?a13? subject to the terms and conditions of this Agreement.

B. Notwithstanding that ?a13? may supply ?a25? to other parties at its discretion, ?a14? will source the supply of ?a25? from ?a13? , subject to the terms and conditions of this Agreement.

1. AGREEMENT TO BUY AND SELL

In consideration of payment of the amount specified in Item 1 of the Schedule, increased from time to time pursuant to Clause 12, ?a14? will source the ?a25? from ?a13? who will supply the ?a25? to ?a14? with effect the Commencement Date.

2. DURATION

This Agreement commences on the date specified in Item 2 of the Schedule and unless terminated sooner under Clause 15, will continue indefinitely until terminated by either party giving not less than six (6) months written notice of termination to the other party.

3. EXCLUSIVITY

No exclusivity exists. Either party may source supply of ?a25? from any other entity.

4. PLACEMENT OF ORDERS

?a14? will order ?a25? from ?a13? in writing and each order will specify:

? The date of the placement of the order;

? The ?a25? ordered;

? A preferred delivery date for the ?a25? being not less than three (3) days from the date of the placement of the order;

? Delivery address;

? Packaging instructions.

5. ACCEPTANCE OF ORDERS
