"1. The Licensor has expended considerable time and effort in creating and developing the Software.

2. The Licensor is the owner of all Intellectual Property rights in relation to the Software and places great value thereon.

3. The Licensee wishes to obtain the right to use the Software.

4. The Licensor has agreed, subject to the terms and conditions of this agreement, to grant the Licensee the right to use the Software.

2. APPOINTMENT OF LICENSEE AND GRANT OF LICENCE

2.1 The Licensor grants to the Licensee a personal non-transferable and non-exclusive right to use the Software subject........ 

3. TERM

This Agreement must commence on the Commencement Date and must continue in force for the term of years set out in Part 3 of the Schedule and must thereafter automatically be extended on the same terms and conditions on a year to year basis until such time as it is terminated by either the Licensor or the Licensee in accordance with the provisions hereof.

4. FEES AND CHARGES

4.4 The Licensee must pay the Licensor its reasonable solicitor's fees and court costs incurred in collecting charges or otherwise enforcing the terms hereof.

4.5 If, after a request by the Licensee for Maintenance Services, the Licensor reasonably determines that there was no error in the Software or part thereof, the Licensee agrees to pay for the Licensors services at the Licensor's then current rate."
