"A. The Company carries on the business more fully described in Part 2 of the Schedule ("the Business") and in the conduct of the Business requires the provision of certain facilities and services.

B. Considerable administrative and supervisory work is involved in managing the Business and the Company desires to be freed from the burden thereof so far as may be practicable.

C. The Manager has agreed to supply certain management and related services ("the Services") on the terms and conditions contained in this Agreement.

1 APPOINTMENT OF MANAGER

1.1 The Company appoints the Manager to provide the Services from the date set out in Part 3 of the Schedule ("the Commencement Date").
