Manufacture and distributor agreement . Formal agreement weighted in favour of distributor.

"1 . The Licensor is the owner of all Rights in relation to the Products which are of great value to it.

2 . The Licensee wishes to obtain the sole and exclusive right to manufacture, market, distribute and sell the Products within the Territory.

3 . The Licensor has agreed subject to the terms and conditions of this Agreement to appoint the Licensee as its sole and exclusive Licensee within the Territory.

2 . APPOINTMENT OF LICENSEE

The Licensor grants to the Licensee an exclusive licence.......

4. SCOPE OF LICENCE

3.1 The Licensor must not throughout the term of the exclusive licence granted manufacture, market, distribute or sell, or licence any other person to manufacture, market, distribute or sell any Product or utilise the Rights in the Territory in competition with the Licensee.

5 . DELIVERY

5.1 CIF MELBOURNE

All deliveries of Products by the Licensor to the Licensee will be CIF Melbourne.... The Licensee must be responsible for the payment of all freight and insurance charges and all fees, taxes, excises, duties, and any other charges which may be assessed against ordered Products.

5.4 Risk of Loss, Damage or Deterioration of the Products must pass to the Licensee upon Delivery."
