"The Owner has developed the Programs.
The Distributor is in the business of dealing in the sale of the Programs to Retailers and wishes to be appointed by the Owner as a Distributor of the Programs on the terms and conditions in this Agreement;
1 Appointment of Distributor
1.1 The Owner appoints the Distributor, as a non-exclusive Distributor of the Programs.
1.2 The Distributor accepts the appointment as Distributor of the Program.
1.3 The owner will sell the Programs to the Distributor and the Distributor will purchase the Programs from the Owner subject to the Program License Agreement.
2 Distributor's Obligations
2.1 The Distributor must:
2.1.1 Use its best efforts actively and diligently to promote sales of programs to Retailers."
