Distribution, manufacture and sale - licence agreement-LIC 3

Formal agreement where the concept of manufacture, wholesale, distribution, marketing and sale are all incorporated into one document.

"A. The Inventor has invented the item described in part 4 of the Schedule ("Patent"), and has applied for patent and design protection for the Patent in Australia and overseas.

B. The Inventor and the Licensor are the owners of all intellectual property rights in relation to the Patent, including the patent and design applications and/or registrations in relation to the Patent contained in Part 5 of the Schedule.

C. The Licensee wishes to obtain the sole and exclusive right to manufacture, market, distribute and sell the Product (as hereinafter defined) within a certain territory).

D. The Licensor and the Inventor have agreed, subject to the terms and conditions of this agreement, to appoint the Licensee as its sole and exclusive licensee as desired by the Licensee.

1 APPOINTMENT OF LICENSEE

The Inventor and the Licensor grant to the Licensee an exclusive licence in accordance with the terms and conditions of this Agreement to:

2 SCOPE OF LICENCE

2.1 Neither the Licensor nor the Inventor nor any Associate of either of them must throughout the term of the exclusive licence granted manufacture, market, distribute or sell, or licence any other person to manufacture, market, distribute or sell any Product in the Territory.

2.2 The Licensee may sub-licence third parties to manufacture, market, distribute or sell the Products........"
