"A. The Manufacturer carries on a business in Australia as the manufacturer of ## ("Products").
B. The Manufacturer has agreed to appoint the Distributor as the sole and exclusive wholesale distributor of the Products in the Territory on the terms and conditions contained in this Agreement.
2. TERM OF DISTRIBUTORSHIP
2.1 Initial Term
This Agreement commences on the Commencement Date and unless terminated earlier pursuant to this Agreement must continue for the Initial Term.
2.2 Renewal
On or before the conclusion of the Initial Term the Distributor may renew this Agreement for the Renewal Period upon such terms and conditions as are contained in this Agreement except for the clauses containing a right to renew the Term.
2.3 Condition Precedent for Renewal
The Distributor must only be entitled to renew this Agreement as set out in the previous clause if the Distributor:-
2.3.1 provides the Manufacturer a written notice within three (3) months before the expiration of the Initial Term giving notice of their intention to renew this Agreement in accordance with the previous clause; and
2.3.2 has properly and satisfactory observed their obligations under this Agreement throughout the Initial Term to the satisfaction of the Manufacturer.
