Formal agreement where you instruct a dealer to sell your product. Dealer may sell other products as well. Terms of arrangement whereby you receive payment and protection in return for supplying product.

"A. ## has expended considerable time and effort in acquiring the Australian Distribution Rights to the Products.
B. ## is the authorised user of all Intellectual Property rights in relation to the Products and places great value thereon.
C. The Dealer wishes to obtain the right to market and distribute the Products in a defined Territory.
D. ## has agreed, subject to the terms and conditions of this agreement, to grant the Dealer the right to market and distribute the Products.
3. APPOINTMENT OF DEALER
3.1 ## grants to the Dealer a personal and non-exclusive licence to market and distribute the Products in the Territory only, subject to the Terms and conditions set forth in this Agreement.
3.2 ## APPOINTS the Dealer as its agent to procure consumers for the sale of the Products and the Dealer ACCEPTS the appointment in accordance with the Terms of this Agreement.
3.3 The Dealer's appointment in respect of the Products is not exclusive within the Territory and the Dealer acknowledges that ## may from time to time enter into Agreements with other persons to market and distribute the Products within the Territory."
