Agreement to sell and market software as an agent / distributor / licensee.

"A . The Licensor is the owner of all Intellectual Property rights in relation to the Software and places great value thereon.

B. The Licensee wishes to obtain the right to market and distribute the Software.

C . The Licensor has agreed, subject to the terms and conditions of this agreement, to grant the Licensee the right to market and distribute the Software.

2.  APPOINTMENT OF LICENSEE AND GRANT OF LICENCE

The Licensor grants to the Licensee a personal and non-exclusive right to market and distribute the Software subject to the terms and conditions set out in this Agreement.

The Licensee's appointment in respect of the Software is not exclusive within the Territory and the Licensee acknowledges that the Licensor may from time to time enter into agreements with other persons to market and distribute the Software within the Territory.

The Licensee will however receive a commission for sales made in his Territory by Agents or the Licensor. The amount of the commission will be determined by the Licensor from time to time.

The Licensee has the right to use one copy of the Software on a single computer and make one copy of the Software for archival purposes or copy the Software onto the hard disk of a computer and retain the original for archival purposes PROVIDED THAT a copyright notice confirming retention of the copyright in the name of the Licensor is recorded and included in the archival copy."
