"2 SUB-LEASE OF PREMISES

2.1 The Landlord sub-leases the Premises to the Tenant for the term beginning on the Commencement Date and ending on the Expiry Date.

2.2 This Sub-Lease is subject to :

2.2.1 any encumbrances affecting the Premises;

2.2.2 any reservations in the Head Lease or this Sub-Lease; and

2.2.3 any rights of the Head Landlord under the Head Lease and of the Landlord under this Sub-Lease.

2.3 To the extent the Landlord can grant them, the Tenant has the rights granted to the Landlord under the Head Lease reasonably required by the Tenant to use and enjoy the Premises.

2.4 Subject to clause 2.5, the terms and conditions of the Head Lease as varied expressly or impliedly by this Sub-Lease are incorporated into this Sub-Lease with all necessary changes having been deemed to have been made.

2.5 Subject to clause 2.6, nothing in this Sub-Lease requires the Landlord to comply with the obligations of the Head Landlord under the Head Lease, apart from the obligations under clause 12.

2.6 The Landlord must use reasonable endeavours to procure the Head Landlord to perform its obligations under the Head Lease.

3 TENANT?S OBLIGATIONS

3.1 The Tenant agrees with the Landlord to comply with the obligations of the Landlord under the Head Lease.

3.2 The Tenant must not do anything which if done by the Landlord:

3.2.1 is or would result in a breach of the Landlord?s obligations under the Head Lease; or

3.2.2 may result in the Landlord being liable in any way to the Head Landlord in connection with the Head Lease, unless permitted by this Sub-Lease.

4 COMPLIANCE WITH THE HEAD LEASE

4.1 The variations to the Head Lease referred to in this Sub-Lease:

4.1.1 have affect only for the purposes of the Sub-Lease; and

4.1.2 do not affect the rights and obligations of the Head Landlord and the Landlord under the Head Lease."
