Subcontract agreement - COMM 6

You would normally use this agreement to appoint a subcontractor to perform a particular job.

Sample

"A. The Contractor has expended time, effort and money in developing and acquiring knowledge and expertise in the business and process of:-

B. The Contractor carries on the business under the name and style associated with the business names and marks as set out in paragraph 3 of the Schedule.

C. The Subcontractor is desirous of obtaining the benefits of the Contractor's knowledge, contacts and expertise as herein before recited and has requested the Contractor to afford the Subcontractor the right to perform certain Works procured by the Contractor from time to time pursuant to the terms and conditions of this Agreement.

3. EXCLUSIVITY

3.1 The Subcontractors appointment in respect of the Works is not exclusive within the Territory and the Subcontractor acknowledges that the Contractor may from time to time appoint additional Subcontractors within the Territory dependant upon the availability of Works.

4. TERM

This Agreement must be effective from the date hereof and must continue until such date as is set out in paragraph 6 of he Schedule unless one of the parties gives no less than three months notice to the other of the termination of this Agreement or the Agreement is terminated pursuant to the provisions of Clause 9 & 10 hereof."
