This document is specifically utilised by software developers to develop software. Alternatively, if you require someone to develop software for you, then you can utilise this agreement as well. It caters for ownership rights of the developed product.

"A. Owner has developed the Software to a certain stage.

B. ?a4? has the experience and the necessary resources to complete the development of the Software to meet the requirements as defined in the Functional Specification.

C. The Owner has agreed to pay for the development of the Software on the terms and conditions of this Agreement.

2 ENGAGEMENT OF ?a4?

In consideration of ?a4? receiving payments, ?a4? must provide the Software Development Services to the Owner .

3 COMMENCEMENT DATE AND FINAL COMPLETION DATE

3.1 ?a4? must:-

3.1.1 commence the Software Development Services on the Commencement Date;

3.1.2 complete the Software Development Services as soon as practicable but in any event not later than the Final Completion Date.

5 PAYMENT

The Owner must:-

5.1 make payment of deposits and/or payments of all monies owed to ?a4? on the agreed terms set out in Schedule 4. Unless otherwise stated, terms of payment are to be within 30 days from date of invoice after which time the invoiced amount must bear interest at 2% per annum above the rate fixed by the Penalty Interest Rates Act of 1983 on all overdue payments until date of payment.

5.2 pay all monies in Australian dollars, free of exchange and without deduction of any kind.

5.3 be responsible for all additional cost and expense and sign variation orders authorising such costs and expenses.

5.4 pay for any duty, tax (including GST), impost or outlays of whatsoever nature levied in connection with the Software.

5.5 in the event that any monies are not paid on due date, ?a4? has the right to retain for its own use any and all Software."
