"A. The franchisor has developed a distinctive business format featuring the marks, the image, the system and certain systems and procedures for the sale of ## .

B.The franchisor network in the territory features franchisees each operating separate businesses using the franchisor system and the franchisor image.

C.The franchisor desires to appoint a master franchisee to grow, develop and manage the network in the territory, and have the responsibility for recruiting, supplying, motivating, training, supervising and supporting franchisees located in the territory.

D.The terms of the master franchise are as set out in this agreement.

3. PRELIMINARY COVENANTS

(1) The master franchisee covenants with the franchisor at the commencement date as follows:

(d) that the master franchisee has disclosed to the franchisor all facts and things concerning the master franchisee and the principals, including their financial position and past business history, which could reasonably be considered relevant to the franchisor"s decision to grant the master franchise to the master franchisee."
