Escrow agreement to hold disputed copyright/IP/software Sample "A. On the same date as this Agreement the Principal and the Producer have entered into an agreement titled CD‑ROMs Production Agreement dated as set out in part 5 of the Schedule ("Production Agreement"). Pursuant to the Production Agreement the Producer has agreed, among other things, to render certain services for the design, production and supply of a multimedia work ("Work") in respect of which the Producer must retain ownership of the source code as further particularised in part 6 of the Schedule ("Source Code"). B. Pursuant to the Production Agreement, the Producer has agreed to place certain information regarding the Source Code in the possession and custody of the Escrow Holder, being information as specified in part 7 of the Schedule ("Information"). 2 DEPOSIT AND STORAGE 2.1 The Producer must vest in the Escrow Holder?????????? 2.4 The Escrow Holder must give the Principal and the Producer written confirmation of receipt of the Information immediately it is received. 2.6 If the copy of the Information held by the Escrow Holder is lost, damaged or destroyed whilst in the possession, custody or control of the Escrow Holder, the Escrow Holder must: (a) immediately notify the Principal and the Producer??????????????"
