"1 BUSINESS

The Business is the subject of these Conditions of Offer to Sell.

2 INVITATION TO OFFER TO SELL

2.1 The Purchaser must:-

2.1.1 In Schedule 1, complete the total offer.

2.1.2 Complete the full name and address of the Purchaser.

2.1.3 Delete any Clause relating to Assets that the Purchaser is not purchasing.

2.1.4 Initial all changes to this document.

2.1.5 Complete full names and addresses of all Guarantors.

2.1.6 Furnish a deposit of no less than 10% of the Price as a deposit to the Solicitors for the Vendor simultaneously with the execution of this document.

3 EXAMINATION OF BOOKS

The Purchaser may examine the books of account and other business records of the business between the hours of 9.00am and 4.00pm Eastern Standard Time as determined and arranged by the Vendor.

4 OFFER

The Purchaser must be deemed to have made an Offer to Sell the Business upon the terms and conditions set out in this document which must remain open..."
