Offer to purchase business

This is a document you can use as a generic document if you want to make an offer to purchase a business.

"### is interested in submitting an offer to purchase the plant, equipment, fixtures and fittings and certain other assets of### ("the Business") carrying on business at ### ("the Business Premises").

The offer will contemplate the following:-

1 BUSINESS AND ASSETS

The Purchaser  will purchase from the Vendor free from all mortgages, liens, charges and other encumbrances whatsoever, the Business currently conducted at the Business Premises namely:

1.1 all of the goodwill of the Business including (without being limited to) -

     * the right for the Purchaser to present itself as Successor to the Vendor in the Business; and

     * the right for the Purchaser to use the name " ### ";

1.2 the plant, machinery, equipment and other assets (less landlords chattels)?"
